1. Purpose
This Statement records the legal position on which IT Services by Rajat Agarwal ("IT Services") supplies the startup coaching programme (the "Programme") to founders and startup teams (the "Buyer").
2. Statements of position
Statement 1 — An educational and coaching service delivered online.
The Programme teaches a method of testing and presenting a startup idea in twelve steps, through written material and a software tool (Proof Forge) that the Buyer uses on the Buyer's own device. It is delivered online and nothing physical is shipped.
Basis. Indian Contract Act, 1872; Information Technology Act, 2000, section 10A (a contract is not unenforceable only because it is formed electronically).
Statement 2 — No promise of funding or of any result.
IT Services does not promise, guarantee or arrange investment, funding, customers, revenue or any other result. Examples, figures and stories in the Programme are illustrations.
Basis. Consumer Protection Act, 2019: a misleading advertisement (section 2(28)) and an unfair trade practice (section 2(47)) are prohibited; the Programme therefore promises only what it delivers, namely access to the method, the material and the tool.
Statement 3 — Not investment advice, not a funding intermediary.
IT Services does not advise on securities or investments, does not act as a broker, merchant banker, placement agent or finder of investors, and does not receive any success fee or percentage of any funds a Buyer may raise.
Basis. Securities and Exchange Board of India (Investment Advisers) Regulations, 2013 regulate advice on securities for consideration; the Programme gives none.
Statement 4 — The software and material are owned by Rajat Agarwal.
The Programme, its material, the Proof Forge software, its source code, designs, names and concepts are owned by Rajat Agarwal alone, who trades as IT Services by Rajat Agarwal. The Buyer receives a licence to use them for the Buyer's own startup and not a transfer of ownership.
Basis. Copyright Act, 1957 (rights in a computer programme and in literary work); Terms, clause 6.
Statement 5 — The Buyer's own work stays the Buyer's.
What the Buyer types into the tool is the Buyer's. It is locked on the Buyer's device with a key made from the Buyer's passphrase; only the locked copy is stored, and IT Services cannot read it. A lost passphrase cannot be recovered.
Basis. Digital Personal Data Protection Act, 2023: reasonable security safeguards (section 8(5)); erasure when the purpose is served or consent is withdrawn (section 8(7)); Terms, clause 9.
Statement 6 — Fees.
The fee is ₹19,999 per startup, for one to five startups at a time. It is the whole amount payable: IT Services is not registered for GST and none is added. Payment is made online through Razorpay on the registered payment page of IT Services, and an invoice is e-mailed for each payment. Part or all of the fee is refunded if the founder hits targets that other people prove, on the conditions in Terms, clause 8.
Basis. Central Goods and Services Tax Act, 2017 (registration is required only above the prescribed turnover); Payment and Settlement Systems Act, 2007 (the payment is processed by an authorised payment system provider).
Statement 7 — How a Buyer accepts.
A Buyer accepts the Terms only by ticking the box at checkout. The acceptance is recorded with its time and the version of the Terms.
Basis. Information Technology Act, 2000, section 10A; Indian Contract Act, 1872, section 10.
Statement 8 — Disputes.
Indian law applies; the Grievance Officer is Rajat Agarwal; disputes go first to the Grievance Officer, then to arbitration seated at Ghaziabad, with the courts at Ghaziabad having jurisdiction subject to that.
Basis. Arbitration and Conciliation Act, 1996; Digital Personal Data Protection Act, 2023, section 13 and Rule 14 of the Digital Personal Data Protection Rules, 2025 (grievances answered within a reasonable period not exceeding ninety days; IT Services answers within 30 days).
