1.1 "IT Services", "we", "us": IT SERVICES BY RAJAT AGARWAL, the trade name of Rajat Agarwal, an individual running a sole proprietorship in India, based at B-1105, Shipra Krishna Vista, Indirapuram, Ghaziabad, Uttar Pradesh, 201014, India.
1.2 "Programme": the twelve-step startup coaching programme, its written material and the Proof Forge software.
1.3 "Buyer", "you": the person who books and pays for the Programme for one or more startups.
1.4 "Startup seat": the right of one startup to use the Programme.

2. The Programme

2.1 The Programme teaches a method to test and present a startup idea. It is education and coaching. It is not investment, legal, tax or financial advice.
2.2 We do not promise, guarantee or arrange investment, funding, customers, revenue or any other result. Examples, figures and stories are illustrations only.
2.3 We are not a broker, merchant banker, placement agent or finder of investors, and we take no success fee or share of any funds you raise.

3. Who may buy

You must be 18 or older and buy for a genuine startup or business purpose. You may book one to five startup seats at a time.

4. Fee and payment

4.1 The fee is ₹19,999 per startup seat. It is the whole amount payable. We are not registered for GST, so none is added. If the law later requires registration, GST will be added to bookings made after we publish a notice.
4.2 Payment is made online through Razorpay on our registered payment page. We issue an invoice for each payment by e-mail.
4.3 The price is fixed on our server. It cannot be changed from your device.

5. Access and delivery

5.1 After payment is confirmed we e-mail a private access link. Access is online and is given at once. Nothing physical is shipped.
5.2 The link is personal to the seats you bought. Do not share it, post it or sell it. You are responsible for what is done with it.

6. Our rights; your licence

6.1 The Programme, its material, the Proof Forge software, its source code, designs, names and concepts are the exclusive property of Rajat Agarwal, trading as IT Services by Rajat Agarwal. All intellectual property rights in them belong to Rajat Agarwal alone.
6.2 You receive a non-exclusive, non-transferable, revocable licence to use them for your own startup. No other right is granted. You shall not copy, modify, sub-license, resell, reverse-engineer or make available to any third party the material or the software.

7. Your work

What you enter into the tool is yours. You are responsible for it and for having the right to use it. We do not claim ownership of it.

8. Cancellation and refund

8.1 Performance refund. The fee can be earned back as the founder hits targets that other people prove, as described under "The deal" on the programme page. In summary: (a) ₹9,999 per startup is refunded when one quarter of the funding target the founder set is in the founder's bank account, confirmed by the person who funded it; (b) the rest, so that the whole ₹19,999 per startup is refunded, when the founder reaches all three of: sales of at least half the sales target for 30 days, money raised of at least half the funding target, and a profit margin of at least half the margin the founder stated.
8.2 Conditions of the performance refund. The three targets are set in Steps 1 and 2; after Step 2 they lock and can only go up. Money counts only when the funder confirms it and it is in the founder's bank account. Money from friends and family counts, but for at most half of the total. The founder's own money does not count. Sales must come from real customers, at least 70% of them strangers, checked by an accountant. Profit is stated by an accountant after every cost. A person audits every claim before any refund is paid. A false claim ends the refund. The refund goes back to the payment method used. Payment-gateway fees on the original payment are not refunded by the gateway.
8.3 No other cancellation. Because access is given at once, a booking cannot be cancelled and no other refund is given after the access link has been issued, except as set out in clauses 8.4 and 8.5.
8.4 A wrong or double charge is always put right: if a payment was taken more than once, or the amount charged differs from the amount shown, or money was taken and no access link was issued, we refund the excess or the whole amount. Write to rajatsiroffice@gmail.com with the subject "Billing", the payment reference, the amount and the date.
8.5 If the access link cannot be delivered or does not work and we cannot put it right within 7 days of your report, we refund the fee for the affected seats.
8.6 An approved refund is started within 7 working days to the original payment method. Your bank may take a further 5 to 7 working days to show it.

9. Your data

9.1 For your booking and billing details (name, e-mail, mobile number, startup name, payment reference) IT Services is the Data Fiduciary under the Digital Personal Data Protection Act, 2023. We use them only to confirm your payment, send your access link, send you e-mails about your progress and keep the accounts the law requires.
9.2 What you enter into the tool is locked on your device with a key made from your passphrase. We store only the locked copy and cannot read it. We cannot recover a lost passphrase.
9.3 We do not sell your data and run no advertising trackers.
9.4 You may ask what we hold, ask for correction or erasure, withdraw consent, or complain, by writing to the Grievance Officer. Records the law requires us to keep, such as invoices, are kept for the period the law requires.

10. Acceptable use

You shall not misuse the access link, interfere with the software, use the Programme unlawfully, or present our material as your own.

11. Disclaimer and limitation of liability

11.1 The Programme and software are provided with reasonable skill and care but "as is". Software can be wrong or unavailable at times.
11.2 To the fullest extent the law allows, we are not liable for indirect or consequential loss, lost profits, lost data or goodwill, or for any decision you take about your startup, funding or business. Our total liability for any claim connected with the Programme is limited to the fee you paid for the affected seats. Nothing limits liability that the law does not allow to be limited, including for fraud or wilful misconduct.
